Biography

Steven Welch’s practice primarily focuses on all aspects of (1) oil, gas and mineral law, including the buying, selling and financing of oil, gas and mineral properties and interests therein, participation and farmout agreements and operational issues; (2) commercial transactions and business governance and general operational matters; (3) review, preparation and negotiation of PPO, TPA, provider, access, administrative services and related employee benefit agreements; and (4) environmental law, including federal and state litigation, transaction and regulatory matters.   

Steven served in the U.S. Army for three years, including service in Vietnam and at the National Security Agency.

His experience and expertise in the field of natural resources law has earned him inclusion in The Best Lawyers in America and Chambers USA Guide to America's Leading Lawyers for Business.

Representative Experience

  • Represented the shareholders of an Oklahoma City-based oil and gas exploration and production company in the August 2007 sale of that company, as well as several other companies in their concurrent sale of oil and gas and related properties for an aggregate purchase price of approximately $67 million
  • Represented the owners of several Oklahoma-based oil and gas production and exploration companies, the trustees of certain “family” trusts, and other individuals in the January 2007 sale of oil and gas and related properties for an aggregate purchase price of $121.5 million
  • Represented the owners of a Texas-based preferred provider organization (PPO) and affiliated companies in the October 2007 sale of those companies for an aggregate purchase price consideration of $54 million
  • Represented the owners of several Oklahoma-based oil and gas exploration and production companies in the November 2006 sale of those companies for an aggregate purchase price of $50 million
  • Represented an Oklahoma City-based oil and gas exploration and production company in obtaining a $52 million credit facility
  • Represented an Oklahoma City-based energy company in connection with several coal, coal slurry and pond fines reclamation, recovery, and processing ventures in Kentucky, Ohio and West Virginia
  • Represented an Oklahoma City-based energy company with respect to its sale of real and personal property located in Wyoming related to the exploration, development, mining, and processing of uranium;  its reclamation of a uranium processing mill and mill tailing facility and lands in New Mexico; its purchase and sale of uranium concentrates; and its yellowcake slurry processing and byproduct disposal operations
